OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE SITE WILL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID TO US FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. 12. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. You and D21 ECOM agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and change the effective date at the top. Your continued use of the Site after an update means you accept the updated Terms.

14. Severability, Waiver & Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with our Privacy Policy and any separate written agreement between you and D21 ECOM, are the entire agreement between you and us regarding the Site and supersede any prior understandings about it.
